1. Acceptance of Terms
By accessing or using the UnifiedArk platform and website at unifiedark.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Unified Retail Services Ltd ("we", "us", or "our"), a company registered in England and Wales (company number 15752391) with its registered office at Norfolk House, 4 Station Road, St. Ives, Cambridgeshire, PE27 5AF, United Kingdom.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of UnifiedArk following the posting of any changes to these Terms constitutes acceptance of those changes.
These Terms apply to all visitors, users, and others who access or use the Service, including any associated features, tools, and functionality provided through the platform.
2. Description of Service
UnifiedArk is an Amazon seller dashboard that provides analytics, reporting, and account management tools for Amazon Seller Central accounts. The Service is designed to help Amazon sellers manage their business more effectively through a unified interface.
The Service includes, but is not limited to, the following features:
- Sales and revenue analytics
- Inventory monitoring and management tools
- Advertising performance reporting
- Brand analytics and search term insights
- Order management and fulfilment tracking
- Account health monitoring
- Custom reporting and data export
UnifiedArk accesses your Amazon data via Amazon's Selling Partner API (SP-API) with your explicit authorisation. The Service is provided by Unified Retail Services Ltd and is not affiliated with, endorsed by, or sponsored by Amazon.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of any material changes that affect your use of the Service.
3. Account Registration
To use UnifiedArk, you must create an account. When registering, you agree to the following:
- You must provide accurate, current, and complete information during the registration process and keep your account information up to date at all times.
- You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.
- You must notify us immediately at support@unifiedark.com if you become aware of any unauthorised use of your account or any other breach of security.
- You must be at least 18 years of age to create an account and use the Service.
- You must be authorised to connect the Amazon Seller Central accounts that you link to UnifiedArk. You represent and warrant that you have the necessary rights and permissions to grant UnifiedArk access to such accounts.
- Only one account per person or legal entity is permitted unless otherwise agreed in writing by Unified Retail Services Ltd. We reserve the right to suspend or terminate duplicate accounts.
We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion if we reasonably believe that you have violated these Terms or provided inaccurate information.
4. Amazon Data and Authorisation
By connecting your Amazon account to UnifiedArk, you authorise us to access, retrieve, and process your Amazon data via Amazon's Selling Partner API (SP-API) in accordance with the scopes you have granted.
- Authority to grant access — You represent and warrant that you have full authority to grant UnifiedArk access to the Amazon accounts you connect and to the data contained therein. If you are acting on behalf of a business or organisation, you confirm that you are authorised to bind that entity to these Terms.
- Revocation of access — You may revoke UnifiedArk's access to your Amazon data at any time by disconnecting your Amazon account through your UnifiedArk account settings or by revoking access directly within Amazon Seller Central. Upon revocation, we will cease accessing your Amazon data and will delete all stored Amazon SP-API data within 30 days.
- Sole purpose of data use — UnifiedArk uses your Amazon data solely to provide the Service to you. Your data is processed exclusively to power the dashboard features, analytics, and reports you have access to within the platform.
- No sharing or selling of data — Your Amazon data is never sold, licensed, shared, or made available to any third party. We do not provide your data to other users, advertisers, partners, or any external entity for any purpose.
- No cross-seller aggregation — Your Amazon data is never aggregated, combined, or cross-referenced with the data of any other seller. Each account's data is completely isolated and private to that account.
- Amazon-only data processing — We do not use your Amazon data with any non-Amazon resources, services, or platforms. Your Amazon data is processed exclusively within the context of the UnifiedArk platform for Amazon-specific features and functionality.
5. Acceptable Use
You agree to use UnifiedArk only for its intended purpose and in compliance with all applicable laws, regulations, and these Terms. When using the Service, you must not:
- Misuse the Service in any way, including but not limited to interfering with the normal operation of the platform, introducing malicious software, or attempting to disrupt the Service for other users.
- Attempt to gain unauthorised access to any part of the Service, its servers, or any systems or networks connected to the Service.
- Use automated tools, bots, scrapers, or any other means to access, extract, or collect data from the Service without our prior written consent.
- Use the Service in a manner that violates Amazon's terms of service, acceptable use policies, or Selling Partner API terms.
- Use the Service for any unlawful, fraudulent, or deceptive purpose, or in connection with any illegal activity.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof.
- Sublicense, resell, distribute, or make the Service available to any third party without our prior written consent.
- Impersonate any person or entity, or falsely claim an affiliation with any person or entity, in connection with your use of the Service.
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating the offending user's account and reporting such activity to the relevant authorities.
6. Subscription and Payment
Access to UnifiedArk requires a paid subscription. By subscribing, you agree to the following payment terms:
- Fees — Subscription fees are as displayed on the UnifiedArk pricing page at the time of your subscription. All prices are quoted in British Pounds Sterling (GBP) unless otherwise stated.
- Billing cycle — Subscriptions are billed either monthly or annually, depending on the plan you select. Your billing cycle begins on the date of your initial subscription payment.
- Auto-renewal — Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel auto-renewal at any time through your account settings.
- Price changes — We reserve the right to change our subscription pricing. If we change the price of your plan, we will provide you with at least 30 days' notice via the email address associated with your account before the new pricing takes effect. The updated pricing will apply from your next billing cycle after the notice period.
- Refund policy — Monthly subscriptions are non-refundable. For annual subscriptions, you may request a pro-rata refund within the first 30 days of your subscription or renewal. To request a refund, contact us at support@unifiedark.com. After the 30-day period, annual subscriptions are non-refundable.
- Failed payments — If a payment fails, we will attempt to process the payment again. If payment cannot be collected after reasonable attempts, we may suspend or downgrade your account until the outstanding balance is settled.
- Taxes — All fees are exclusive of any applicable taxes, levies, or duties. You are responsible for paying any such taxes that may apply to your subscription, except for taxes based on our net income.
7. Intellectual Property
The UnifiedArk platform, including its design, source code, features, functionality, branding, logos, documentation, and all associated content, is the exclusive property of Unified Retail Services Ltd and is protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.
- Our intellectual property — All rights, title, and interest in and to the Service, including all intellectual property rights, remain with Unified Retail Services Ltd. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
- Your Amazon data — You retain full ownership of your Amazon data. Nothing in these Terms transfers ownership of your Amazon data to us. We claim no intellectual property rights over the data you provide or that is retrieved from Amazon on your behalf.
- Limited licence to process your data — By using the Service, you grant Unified Retail Services Ltd a limited, non-exclusive, revocable licence to access, retrieve, store, and process your Amazon data solely for the purpose of providing the Service to you. This licence terminates when you close your account or revoke access, and we will delete your data in accordance with our data retention policies.
- Feedback — If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use such feedback for any purpose without compensation or attribution to you.
8. Data Protection
We take the protection of your data seriously. Our data handling practices are governed by the following:
- We process all personal data in accordance with our Privacy Policy, which forms part of these Terms. Please review our Privacy Policy to understand how we collect, use, and protect your personal data.
- We process Amazon SP-API data in accordance with our Data Protection Policy and Amazon's Data Protection Policy for Selling Partner API applications.
- We are fully compliant with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the EU General Data Protection Regulation (GDPR) where applicable.
- All data is stored securely on infrastructure located in the United Kingdom, with encryption at rest and in transit.
- We maintain appropriate technical and organisational measures to protect your data against unauthorised access, loss, destruction, or alteration.

9. Limitation of Liability
To the fullest extent permitted by applicable law, the following limitations of liability apply:
- Service provided "as is" — The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- No guarantee of availability — We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We are not responsible for any downtime, interruptions, or degradation of the Amazon Selling Partner API or any Amazon services that may affect the functionality of UnifiedArk.
- Data accuracy — While we strive to display your Amazon data accurately, we do not guarantee the accuracy, completeness, or timeliness of any data displayed through the Service. Data is retrieved from Amazon's SP-API and may be subject to delays, errors, or discrepancies originating from Amazon's systems.
- Indirect and consequential damages — In no event shall Unified Retail Services Ltd, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
- Total liability cap — Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees you have paid to us in the 12 months immediately preceding the event giving rise to the claim.
- Amazon API dependency — UnifiedArk relies on Amazon's Selling Partner API to retrieve and display your data. We are not responsible for any changes, outages, rate limits, or restrictions imposed by Amazon on its API that may affect the availability or accuracy of data within the Service.
Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by applicable law.
10. Termination
Either you or Unified Retail Services Ltd may terminate your use of the Service at any time, subject to the following:
- Termination by you — You may terminate your account at any time by contacting us at support@unifiedark.com or through the account settings in the platform. Upon termination, your right to use the Service will cease immediately.
- Termination by us — We may suspend or terminate your account immediately, without prior notice or liability, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your continued use of the Service poses a risk to the platform, other users, or third parties.
- Effect on Amazon data — Upon termination of your account, all Amazon SP-API data associated with your account will be permanently deleted within 30 days. This includes all sales data, inventory data, advertising data, and any other Amazon data retrieved through the SP-API on your behalf.
- Retention of account data — Basic account data (such as your name, email address, and billing history) may be retained for up to 12 months after termination for legitimate legal, tax, accounting, and regulatory purposes, after which it will be permanently deleted.
- Survival — The following sections shall survive termination of these Terms: Intellectual Property, Limitation of Liability, Governing Law, and any other provisions that by their nature should reasonably survive termination.
11. Changes to Terms
We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.
If we make material changes to these Terms that significantly affect your rights or obligations, we will notify you via the email address associated with your account at least 30 days before the changes take effect. Material changes include, but are not limited to, changes to payment terms, data handling practices, or liability provisions.
Your continued use of UnifiedArk after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account in accordance with Section 10.
We encourage you to review these Terms periodically to stay informed about the conditions governing your use of the Service.
12. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
